1. This Visitor Agreement (“Agreement”) describes the terms and conditions that govern the relationship between The Medical Educator (“we”, “us”, or “TME”) and you, the registrant and/or user (“you”, “your” or “Visitor”) of our services. By registering for, logging into, or using The Medical Educator and its associated services, you agree to these terms as updated from time to time in accordance with below.

2. All information, content, courses, and materials (“Materials”) provided on this website and at its conferences, are offered for the exclusive purpose of furthering clinical teaching skills development, physician wellness and professional development, of hospitals and to healthcare providers and administrators working within hospital settings or related care facilities. Materials provided may not be sold or otherwise distributed for monetary gain.

3. TME reserves the right to change these terms and conditions at any time, without notice to Visitor and Visitor agrees to abide by the most current version of the Agreement. Your continued use of TME following changes to our Agreement constitutes your acceptance of our amended terms. Please check these terms regularly for updates.

4. Disclaimer of Warranty and Limitations of Liability

4.1. TME makes no representations with respect to the Materials provided on the Website or at the Conferences. All information, materials, systems, products, and services provided by TME are on an “as is” or “as available” basis, without warranty of any kind, either express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Without limiting the foregoing, TME, its officers, directors, members, employees, staff, volunteers, representatives, licensors, licensees, independent contractors, and affiliates, (“Representatives”) make no representations or warranties about the accuracy, reliability, completeness, or timeliness of Materials, and where applicable, software, text, graphics, links, or communications provided on or through the Materials.

4.2. Visitor acknowledges that the Materials are provided for general information only. Under no circumstances, will the provision of such Materials be considered offering medical advice. Individuals should not rely on Materials as a substitute for consultations with qualified health care professionals who are familiar with individual medical conditions and needs. TME strongly recommends, and Visitor agrees, that care and treatment decisions related to any medical condition be made in consultation with a patient's physician or other qualified health care professionals who are familiar with the individual's specific health situation.

4.3. In no event shall TME or its Representatives be liable for any damages (including, without limitation, incidental and consequential damages, personal injury/wrongful death, lost profits, or damages resulting from lost data or business interruption) resulting from the use of or inability to use the Materials, whether based on warranty, contract, tort, or any other legal theory, and whether or not TME or its Representatives, are advised of the possibility of such damages. Without limitation, TME, and its Representatives or any third parties mentioned in the Materials are not liable for any action sounding in personal injury or death caused by Visitor′s Use or Misuse of the Materials.

4.4. Visitor agrees to release, defend, discharge, indemnify, and hold harmless TME and its Representatives from all claims arising out of or related to your use, or your inability to use, the Materials or the information, services, products or messages contained in the Materials or others to which the Website is linked, including but not limited to claims that you have found something you have heard, viewed or downloaded from the Website or Conference or another website to which it is linked to be obscene, offensive, defamatory, or infringing upon your intellectual property rights. In no event will TME or its Representatives or the contributors of information to the Materials be liable to Visitor or anyone else for any decision made or action taken by Visitor in reliance on such information or for any consequential, special or similar damages, even if advised of the possibility of such damages. You hereby release and forever waive any and all claims you may have against TME, and its Representatives, for losses or damages you sustain in connection with your use of the Materials.

4.5. TME makes no warranties of any kind regarding the operation of the Website or Conference, including but not limited to any warranty of accuracy, completeness, currency, reliability, merchantability, or fitness for a particular purpose, or any warranty that these pages, or the server that makes them available, are free of viruses, worms, Trojan horses, other harmful elements, or other code that manifest contaminating or destructive properties and such warranties are expressly disclaimed.

4.6. When using the Website, information will be transmitted over a medium that may be beyond the control and jurisdiction of TME and its suppliers. Accordingly, TME assumes no liability for or relating to the delay, failure, interruption, or corruption of any data or other information transmitted in connection with use of the Website.

4.7. If you believe that material available on our site infringes on your copyright(s), please notify us by providing a DMCA notice. Upon receipt of a valid and complete notice, we will investigate, and if warranted, remove the material.

5. Intellectual Property

5.1. The TME website and conference, and all viewable and discoverable content therein (including without limitation all data, text, images, audio, video, or code) is owned by TME and its licensors, including any Materials to which you are granted access and a limited use license. A limited, revocable, conditional, non­transferable, non­sublicensable license is granted to you to view this site and use the Materials as described in the preceding section, provided you adhere to all of the terms of this Agreement.


5.1.1. Such use is for the exclusive purposes of furthering teaching and professional development, improvement, and education.

5.1.2. Such use is non-transferable. Visitor is explicitly prohibited from sharing login information with a third party or allowing access to the materials by an unregistered third party. Visitor will not copy, share, or otherwise use our Materials for any purpose other than Visitors professional development, education, or improvement.

5.1.2. Such use is noncommercial. Visitor shall not sell, or otherwise derive monetary gain or direct commercial advantage from the use of Materials. Visitor is expressly prohibited from selling or otherwise distributing, transferring, or disseminating TME Materials for any purpose other than Visitor’s individual professional development.


5.1.3. Such use shall only be shared with a third party with explicit, written consent from TME and will clearly attribute the creation and ownership of the Material to TME.

5.2. Visitor agrees that any material breach of this Section 5 of the Agreement will result in irreparable harm to TME for which damages alone would be an inadequate remedy. Therefore, in addition to its rights and remedies otherwise available at law, TME shall be entitled to equitable relief, including both a preliminary and permanent injunction, if such a breach occurs.

6. Linking

6.1. TME makes no representation, warranty, or endorsement, express or implied, as to any of the information, services, products or messages on any other websites which may be accessed through a hyperlink on the Website. In particular, these links are provided for convenience of reference only and are not intended as an endorsement by TME of the organization or individual operating the website or a warranty or endorsement of any type regarding the website or the information, services, products, or messages posted on or available from such website.

6.2. TME is not responsible for the information or materials contained on websites linking to this Website. Links to this Website are provided for convenience of reference only and are not intended as an endorsement by TME of the organization or individual operating the host website or a warranty of any type regarding the host website or the information on the host website.

6.3. The Medical Educator is not responsible for comments posted by others on social media. Inappropriate comments by visitors on The Medical Educator website will be removed and the author(s) of these comments may be banned from The Medical Educator without notice.

7. Privacy

7.1. This Website contains links to other sites. Once you enter another website (whether through an advertisement, service, or content link), you agree that TME is not responsible for the privacy practices of these other sites. TME encourages you to look for and review the privacy statements of each and every website that you visit through a link or advertisement on the Website.

7.2. TME shall have the right to collect certain personal and non-personal information from Visitor. The only personal information TME will collect shall be from Visitor emails and any information provided to TME by purchasing TME products, registering as a visitor to TME, enrolling in a webinar or course or conference, and other technical assistance. TME shall have the right to use this information to notify the Visitor of promotions, updates, and offers by TME.

7.2.1. This Privacy Policy does not apply to content, business information, ideas, concepts or inventions that Visitor sends to TME by email. Visitor agrees that content, business information, ideas, concepts, and inventions private or proprietary, that Visitor sends to TME by email will not be considered private or confidential information, and TME will not treat it as such.


7.2.2. Most browser software can be set to reject all Cookies. Most browsers offer instructions on how to reset the browser to reject Cookies in the "Help" section of the toolbar. If Visitor rejects Cookies, certain functions and conveniences of the Website may not work properly.

7.3. TME shall have the right to release personal information to third parties: (1) to comply with valid legal requirements such as a law, regulation, search warrant, subpoena, or court order; or (2) in special cases, such as in response to a physical threat to Visitor or others, to protect property or defend or assert legal rights. In the event that TME is legally compelled to disclose Visitor’s personal information to a third party, we will attempt to notify Visitor unless doing so would violate the law or court order. In addition, TME may disclose personal information as may be needed to create Visitor lists; TME shall have the right to share such Visitor lists, emails, and personal information with affiliated organizations.

8. General

8.1. This Agreement along with all other applicable agreements (including but not limited to the TME Online Visitor Agreement) constitutes the entire agreement between the parties and supersedes all prior agreements, versions, and understandings (written or oral) concerning the subject matter hereof.

8.2. This Agreement is governed and construed by laws of the State of Kansas, and any adjudication shall take place in Kansas City, Kansas, regardless of any conflict of law principles to the contrary.

8.3. If any section of this Agreement is held to be invalid or unenforceable, the remaining sections shall not be affected. In such event, the invalid or unenforceable provision(s) shall be changed and interpreted so as best to accomplish such provision’s objective.

8.4. The failure of TME to exercise or enforce its rights under this Agreement shall not be construed as waiver of such rights.

8.5. This privacy policy governs the manner in which the it collects, uses, maintains, and discloses information collected from visitors of the website. This privacy policy applies to the website and all products and services offered by The Medical Educator.

8.6. Dispute Resolution. Any controversy or claim (“Claim”) you have arising out of or relating to these i) Terms of Use, ii) Additional Terms and Conditions, iii) the TME websites, and iv) any products and services accessed or purchased through the TME websites shall be resolved by a single impartial arbitrator pursuant to proceedings administered by the American Arbitration Association under its rules for resolution of commercial disputes. Any such Claim shall be brought, in any arbitration or other legal proceeding, solely by you as an individual and not as part of, or as a representative of, a class. The arbitration shall be held in Kansas City, Kansas. All submissions to the arbitrator, the proceedings and the award shall be confidential. The arbitration shall be conducted on an expedited basis with minimal discovery. The arbitrator’s award shall be final and binding. The courts of the Commonwealth of Kansas shall have exclusive jurisdiction and venue over (a) any action concerning the enforcement of an arbitration award, or (b) if arbitration is not permitted by law, then any Claim you have arising out of or relating to these Terms of Use. You agree to unconditionally and irrevocably submit to the exclusive jurisdiction and venue of such courts and you will not object to such jurisdiction and venue on the grounds of lack of personal jurisdiction, inconvenient forum or otherwise. EACH PARTY IRREVOCABLY WAIVES ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING. TME reserves all rights and remedies available to it in law or equity.

Neither party consents or agrees to any arbitration on a class or representative basis, and the arbitrator shall have no authority to proceed with an arbitration on a class or representative basis. No arbitration will be consolidated with any other arbitration proceeding without the consent of all parties. Any claim or controversy as to the enforceability of this arbitration provision’s restriction on your right to participate in or pursue a class action or classwide arbitration shall be brought only in the United States District Court for Kansas City, Kansas.

8.7. We want all members of the TME community to feel welcome on the TME website and at conferences and treat each other with respect and good will. TME reserves the right, in its sole discretion, to deny or otherwise restrict your access if it has reason to believe you are violating any provision of this Agreement, or otherwise acting in an inappropriate manner with respect to its Materials. Therefore you agree to adhere to the following:

  • You will use not use the TME website, conference, or its social media for any unlawful, misleading, malicious, or discriminatory purpose.
  • You will not solicit login information or access an account belonging to someone else.
  • You will not bully, intimidate, or harass any visitor or other member of the TME community.
  • You will not post or link to inappropriate content, such as content that is threatening, hateful, pornographic, or incites violence.
  • You will not post medical advice.
  • You will not post unauthorized commercial communications (such as spam) on the TME website or social media.
  • You will not collect visitors' content or information, or otherwise access the system, using automated means (such as harvesting bots, robots, spiders, or scrapers).
  • You will not upload viruses or other malicious code.
  • You will not do anything that could disable, overburden, or impair the proper working or appearance of TME.
  • You will not facilitate or encourage any violations of this Agreement.

8.8. These Terms of Use will take effect at the time you begin using the TME websites. TME reserves the right, with or without notice, at any time and for any reason to deny you access to the SHM websites or to any portion thereof, and to terminate these Terms of Use. These Terms of Use will terminate automatically if you fail to comply with or violate them. You may terminate these Terms of Use at any time by ceasing to use the TME website, but all applicable provisions of these Terms of Use will survive such termination. Upon termination, you must destroy all copies of any portion of the TME websites, including any TME Content, in your possession.

8.9. The Visitor gives permission for TME to use and disclose photographs, videos, and other identifying images. The Visitor's identifying images may be used to publicize and promote the activities of TME. Examples of uses include publicly-available videos, media articles, newsletters, brochures, websites, annual reports, Facebook, Twitter, Instagram, and other social medial outlets.
